This is a copy of the end-user license agreement between you and Deskware, Inc. This license agreement is a binding contract and is the same effective agreement that you accepted before you purchased a Deskware software license. This license applies exclusively to the individual who is the purchaser of the Software Product license. This individual is named in a copy of this license agreement, that was delivered to the purchaser via email upon order completion. The terms "Software" and "Software Product" refer to the computer software, printed materials, and online documentation distributed in the sale of CobolScript (any version, any platform) and/or VACE Maintenance Workbench, unless otherwise stated. The term "CobolScript" refers exclusively to the computer software, printed materials, and online documentation included in the sale of CobolScript (any version, any platform). The terms "VACE" and "VACE Maintenance Workbench" refer exclusively to the computer software, printed materials, and online documentation included in the sale of VACE Maintenance Workbench. The terms "primary user" and "primary developer" are synonymous and both refer to the individual who purchased the Deskware software licenses (this is you, if you are an individual and received this email directly from Deskware in response to a purchase made from Deskware by you) END-USER LICENSE AGREEMENT AND LIMITED WARRANTY FOR DESKWARE SOFTWARE This end-user license agreement (hereafter referred to as "end-user license") is a legally binding agreement between you (either an individual or an individual entity) and Deskware, Inc. ("Deskware"), a Florida corporation. By installing and using the software that you have purchased, you agree to the terms of this end-user license. This Software is protected by copyright law and international copyright treaty, and by other intellectual property laws and treaty. 1. License Grant. Deskware grants you a nonexclusive, non-transferable license to: --VACE Maintenance Workbench only: Install the computer software portion of VACE onto a single computer's storage device for each individual license purchased, from the file(s) provided with your developer account. The primary developer may also copy VACE onto a portable computer for his or her exclusive use. --CobolScript only: Install the computer software portion of CobolScript onto a single computer's storage device for each individual license purchased, from the file(s) provided with your developer account. If this purchase is a multiple-machine license purchase, then you are entitled to install the software on the number of computers specified in your license. If you are a primary developer, you may also copy the software onto a portable computer for your exclusive use. If the computer on which CobolScript is installed also has web server software installed on it, and that computer is used as a web server, either for intranet or internet purposes, the primary developer(s) may allow any number of web clients to invoke the CobolScript executable in order to execute programs/scripts which the primary developer(s) have developed using CobolScript ("CobolScript Programs") through a web browser application. However, this license permits no one except the primary developer and the additional number of licensed developers specified in the license description to develop CobolScript programs. An additional CobolScript license must be purchased for any additional developer who is not already licensed to be allowed to develop CobolScript Programs. --CobolScript only: Distribute or sell CobolScript Programs you have developed freely, without payment of royalty to Deskware, so long as the receiver or purchaser of the CobolScript Programs purchases the appropriate number of licenses of CobolScript directly from Deskware. The receiver or purchaser of the CobolScript Programs must contact Deskware directly to purchase CobolScript; no one may resell or distribute CobolScript except Deskware. You may not resell CobolScript Programs that have been developed by Deskware ("CobolScript Program Examples"), nor may you modify CobolScript Program Examples for resale purposes. You may, however, freely distribute and modify CobolScript Program Examples, provided you do not charge any fee for them, you do not remove any Deskware copyright notices from the CobolScript Program Examples, and you do not distribute CobolScript along with the CobolScript Program Examples. --CobolScript Professional Edition only: Distribute or sell CobolScript Program executables that you have created using the CobolScript AppMaker freely, without payment of royalty to Deskware. The receiver or purchaser of the CobolScript Program executable that you create is not required to purchase any CobolScript licenses, so long as you do not distribute any materials other than the CobolScript Program executable that you have created using the CobolScript AppMaker. --Make the additional number of copies of the computer software portion of the Software to which you are authorized. --Access the Deskware Registered Developer Web Site, using your Deskware Developer ID and Password, in order to download incremental product releases or receive Basic Product Support via the Deskware Support Board, for a period of six (6) months from the original date of delivery of this document to you. However, if you abuse your Registered Developer privileges through commission of any of the following acts, your Deskware Registered Developer Account privileges will be revoked immediately: ***Posting advertisements, profanities, pornography, or other offensive material to the Deskware Support Board; OR ***Posting disparaging remarks to the Support Board about any Deskware Registered Developer or about previous Support Board postings by Deskware Registered Developers; OR ***Repeatedly posting frivolous, inflammatory, or hateful Support Board messages; OR ***Attempting to thwart, hack, or undermine any Deskware system in any way; OR ***Flagrantly or obviously violating any of the terms of this License Agreement in your activities on any portion of the Deskware Registered Developer site. --For the duration and conditions specified above, download incremental (non-major) Software updates from the Deskware Registered Developer Web Site. Deskware reserves the right to determine the difference between a major and non-major Software update. --For the duration and conditions specified above, receive Deskware Product Support through the Deskware Registered Developer Web Site for the product(s) you have purchased. 2. Other Rights and Limitations You may not: --Reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable laws. --Separate component parts of the Software for use on more than one computer, with the sole exception to this being CobolScript Program Examples, which may be separated and copied as explainedin (1). --Sublicense, rent, lease, resell, or lend all or part of the Software. --Transfer the Software or this license to any person, party or organization. This is a non-transferable license agreement. --Run the Software on computers other than those for which individual licenses were purchased and issued, with the exception of portable computers as specified in (1). --Remove or alter any of Deskware's copyright notices from any components of the Software. --Distribute all or part of the Software, except in the case of CobolScript Program Examples, as explained in (1). --Use the Software with the intent to violate any of Deskware's user licensing agreements or arrangements. --Use the Software with the intent to harm or cause damage to other computer systems, or to create any program with malicious or destructive purposes or properties. 3. Copyright and Other Restrictions The Software is copyrighted with all rights reserved. None of the components of the Software may be copied, removed or altered, in whole or part, for any unauthorized use, except according to the terms specified above. You may not make additional copies of the manual(s) included with this Software Product. 4. Limited Warranty --Deskware warrants the file(s) on which the Software is distributed to be free from defects which would prevent it from installing correctly. Deskware will allow you to download an additional copy of the Software, free of charge, if defects in the file(s) exist which prevent the Software from installing correctly. --CobolScript only: You understand that CobolScript is a unique computer language product, and is not fully compliant with any ANSI COBOL specifications, nor is it compliant with any vendor-specific COBOL specifications. No support or other assistance will be provided by Deskware for issues related to converting existing COBOL code to CobolScript, nor will Deskware support or answer requests to add commands or syntax to CobolScript to make it further comply with ANSI COBOL specifications or vendor-specific COBOL specifications. --"Year 2000" and similar: Deskware asserts that no substantive problems exist in the CobolScript engine or VACE Maintenance Workbench that are a direct result of the "Year 2000 problem", and that no changing of dates will cause the CobolScript engine or the purchased version of VACE Maintenance Workbench to work incorrectly as a result of calendar changes. However, Deskware makes no warranties that CobolScript Programs or any other programs developed by you will work correctly during any change of dates, since you may represent dates in your programs in any manner that you choose. Therefore, Deskware assumes no responsibility or liability for any damages or costs, incidental, consequential, or otherwise, related to the Year 2000 problem or. other date change problem. DESKWARE DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHERS, WHICH VARY FROM STATE TO STATE. No Deskware distributor, dealer, agent, or employee is authorized to make any modification, extension, or addition to this limited warranty. 5. No Liability for Consequential Damages In no event will Deskware, its licensees, distributors or dealers be liable for direct, incidental or consequential damages, including but not limited to damages resulting from loss of data or business opportunities, resulting from the Software, either alone or in conjunction with other software. 6. General This statement shall be construed, interpreted, and governed by the laws of the State of Florida, U.S.A. This statement gives you specific legal rights; you may have others, depending on your state and/or country of residence. Deskware reserves all rights not specifically granted in this statement. 7. Restricted Rights Legend Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause in DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software--Restricted Rights at CFR 52.227-19, as applicable.
